This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Zyberno and Related Parties have been advised of the possibility of such damages. Because some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, Zyberno and Related Parties' liability in such jurisdictions shall be limited to the maximum extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TOTAL LIABILITY OF ZYBERNO AND RELATED PARTIES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING OUR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF YOUR CLAIM OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ZYBERNO AND YOU. YOU ACKNOWLEDGE AND AGREE THAT ZYBERNO WOULD NOT BE ABLE TO PROVIDE THE SERVICES ON AN ECONOMIC BASIS WITHOUT SUCH LIMITATIONS.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, Zyberno's liability is limited to the maximum extent permitted by law.
ZYBERNO AND RELATED PARTIES SHALL NOT BE LIABLE OR RESPONSIBLE TO YOU, NOR BE DEEMED TO HAVE DEFAULTED OR BREACHED THESE TERMS, FOR ANY FAILURE OR DELAY IN THE AVAILABILITY OF OUR SERVICES WHEN SUCH FAILURE OR DELAY IS CAUSED BY OR RESULTS FROM ACTS OR CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, ACTS OF GOD, FLOOD, FIRE, EARTHQUAKE, EXPLOSION, GOVERNMENTAL ACTIONS, WAR, INVASION OR HOSTILITIES, TERRORIST THREATS OR ACTS, RIOT OR OTHER CIVIL UNREST, NATIONAL EMERGENCY, EPIDEMIC, PANDEMIC, LOCKOUTS, STRIKES OR OTHER LABOR DISPUTES, FAILURES IN TELECOMMUNICATIONS, COMPUTER HARDWARE OR SOFTWARE LIMITATIONS, FAILURES OR DELAYS IN COMMUNICATIONS OR NETWORK CONNECTIVITY, OR ANY OTHER EVENTS OR CIRCUMSTANCES NOT WITHIN OUR REASONABLE CONTROL.
You agree to defend, indemnify, and hold harmless Zyberno, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and costs of enforcement) arising out of or relating to:

YOU AND ZYBERNO AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES (COLLECTIVELY, "DISPUTES") WILL BE SETTLED BY BINDING ARBITRATION, EXCEPT THAT EACH PARTY RETAINS THE RIGHT TO SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN A COURT OF COMPETENT JURISDICTION TO PREVENT THE ACTUAL OR THREATENED INFRINGEMENT, MISAPPROPRIATION, OR VIOLATION OF A PARTY'S COPYRIGHTS, TRADEMARKS, TRADE SECRETS, PATENTS, OR OTHER INTELLECTUAL PROPERTY RIGHTS.
YOU ACKNOWLEDGE AND AGREE THAT YOU AND ZYBERNO ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
The arbitration will be administered by the International Chamber of Commerce ("ICC") in accordance with the ICC Rules of Arbitration then in effect, except as modified by these Terms. The arbitration will be conducted in the English language by a single arbitrator with experience in matters relating to financial services and technology.
The seat of arbitration shall be determined in accordance with ICC rules. The arbitration will be conducted confidentially. The arbitrator will have the authority to grant specific performance and to allocate between the parties the costs of arbitration (including service fees, arbitrator fees, and all other fees related to the arbitration) in accordance with these Terms.
YOU AND ZYBERNO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Zyberno agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Notwithstanding the foregoing, the following shall not be subject to arbitration and may be brought in a court of competent jurisdiction:
YOU AND ZYBERNO AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
These Terms shall be governed by and construed in accordance with the laws of the European Union and, where applicable, the laws of the member state where Zyberno is established, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.
No waiver by Zyberno of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Zyberno to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent, but may be assigned by us without restriction.
These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and Zyberno regarding your use of the Services and supersede all prior and contemporaneous written or oral agreements, communications, and other understandings relating to the subject matter of these Terms.
Nothing in these Terms is intended to or shall operate to create a partnership, joint venture, agency, or employment relationship between you and Zyberno. You and Zyberno are independent contractors, and neither party has the power to bind or obligate the other.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and governing law provisions.
The section titles in these Terms are for convenience only and have no legal or contractual effect.
All notices relating to these Terms will be sent to us at the contact information below or to you at the email address you provide to us. Notices to us are effective when received. Notices to you are effective when sent.
The communications between you and Zyberno use electronic means. For contractual purposes, you consent to receive communications from us in electronic form, and you agree that all terms and conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing.
You agree to comply with all applicable import, re-import, export, and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control.
We make no claims that the Services or any of its content is accessible or appropriate outside of the jurisdictions where it is legally permitted. If you access the Services from outside such jurisdictions, you do so on your own initiative and are responsible for compliance with local laws.
